Engagement of Services
1.1 The Company engages the Promoter as an independent contractor to provide pet promotion services for the Rehome with Love program. The Promoter's responsibilities shall include finding families interested in adopting pets and introducing them to the Company.
1.2 The Promoter shall perform the services professionally and timely, in accordance with the Company's guidelines, including but not limited to the following: a. Utilize Joyful Pets Brand Materials: Use only approved photos, videos, and content provided by Joyful Pets to maintain brand consistency and effectively showcase the pets. b. Utilize Joyful Pets Website Content: Access and use the approved photos and content available on the Joyful Pets website. Access Google Drive for approved videos. c. Share Joyful Pets Facebook and Instagram Posts: Extend the reach of our adoption efforts by sharing any and all Facebook and Instagram posts from the Joyful Pets pages, increasing visibility and attracting potential pet parents. d. Explore Niche and Location-Specific Groups: Discover and engage with niche groups on platforms like Facebook to reach specific audiences interested in pet adoption or specific breeds, interests, or locations. e. Approval Required for New Content and Ideas: When submitting new content, such as pet bios, photos, or videos, please note that they need to be reviewed and approved before usage. We value the quality and consistency of our content, ensuring that it aligns with our brand standards and effectively promotes the pets in our care.
1.3 At Joyful Pets, we facilitate the transition of pets from one loving family to another, rather than working with rescue pets. It is important for us to be considerate of the current families during this process, as they hold a special connection to their beloved pets. Therefore, we need to ensure that everything we write or post about these pets is respectful and sensitive to the feelings of the current families.
1.4 In our communication with potential adopters and current families, we refrain from using the word 'owner' in any of our languages. Instead, we embrace the concept of pet parents or guardians, acknowledging the loving and nurturing relationship between humans and their animal companions. This choice of language reflects our commitment to treating pets as valued family members rather than mere possessions.
Compensation
2.1 As compensation for the services rendered, the Company shall pay the Promoter a minimum of $50 as a finder's fee for each pet that is adopted by a family introduced by the Promoter.
2.2 The finder's fee shall be paid through Venmo or CashApp each Sunday for each completed adoption in the prior week. The Promoter shall be responsible for any fees associated with the Venmo transaction.
Independent Contractor Relationship
The Promoter acknowledges and agrees that their relationship with the Company is that of an independent contractor and nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture between the parties. The Promoter shall have no authority to bind the Company or act on its behalf.
Term and Termination
4.1 This Agreement shall commence on the date signed and shall continue for a period of 30 days.
4.2 Either party may terminate this Agreement by providing written notice to the other party at least 7 days prior to the desired termination date.
Confidentiality
5.1 During the course of the engagement, the Promoter may have access to confidential and proprietary information of the Company.
5.2 The Promoter agrees to keep all such information confidential and shall not disclose it to any third party without the prior written consent of the Company.
5.3 This obligation of confidentiality shall continue even after the termination of this Agreement.
Non-Disparagement
6.1 The Promoter agrees not to make any negative or disparaging statements about the Company, its employees, products, or services, whether orally or in writing, on social media or any other platform.
6.2 This obligation of non-disparagement shall continue even after the termination of this Agreement.
Intellectual Property
7.1 Any intellectual property, including but not limited to trademarks, copyrights, or trade secrets, developed or used by the Promoter in the course of providing the services shall remain the sole property of the Promoter.
7.2 The Promoter grants the Company a non-exclusive, royalty-free license to use such intellectual property solely for the purposes of the Rehome with Love program.
Indemnification
8.1 The Promoter agrees to indemnify and hold the Company harmless from and against any claims, damages, liabilities, costs, and expenses arising out of or in connection with the Promoter's performance of the services under this Agreement.
Non-Solicitation
9.1 The Promoter agrees that, for a period of 6 months following the termination of this Agreement, they will not directly or indirectly solicit the Company's clients or employees for any competing or similar services.
Governing Law and Jurisdiction
10.1 This Agreement shall be governed by and construed in accordance with the laws of the state of Massachusetts, without regard to its conflict of laws principles.
10.2 Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Massachusetts.
Entire Agreement
11.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations, whether oral or written, relating to the subject matter hereof.
11.2 Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
Severability
12.1 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
13.1 The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with that provision or any other provision of this Agreement.
